Your Privacy Rights

This privacy policy (the “Policy”) describes how Tread, Inc. (“Tread”, “we”, “us” or “our”) handles the information our users submit to us through our mobile applicable (the “App”). As a user, you submit a wide range of information (including personal information) to us in order to use the services provided through our App (collectively, the “Services”).

We at Tread recognize the importance of your privacy, so we have developed this Policy to describe all the types of information our App collects and the ways in which we collect, use, and disclose your personal information.

We also offer our users invoice factoring services that may be provided through another company (“Factoring Provider”). If you choose to use this invoice factoring service, we may share your personal information with the Factoring Provider so you can get paid (we describe this more in detail below under “Do you share my information with others”). We highly recommend that you also take a look at the Factoring Provider’s privacy policy that describes how they handle personal information.

What is “Personal Information”?

Personal information is any information about an identifiable individual. This includes information like your name, age, contact details, address, email address, and payment information. Our App collects personal information that you submit to us.

What kind of information do you collect from me when I use the App?

We collect a range of information required for you to get the most out of our App.

In order to register for a Tread account, we will collect: your cell phone number for verification your full name, details on the company you work for, photo of your driver's license, your insurance, proof of ownership of your equipment, a void cheque, and basic contact details such as your mailing address and email address. You can access and edit all of your account details through the settings page.

When you choose to create a log to record your job(s), we will collect location details including GPS data, and other information about the job including your customer's information (name and contact information), and invoice terms.

If you choose the option to factor your invoices, you will be asked to provide additional information about the company you work for, the equipment you use to provide services, and your banking information for direct deposit. You will also be provided with a separate contract and be asked to write your name to verify that you sign and agree to the Factoring Provider’s form of contract. Why do you collect information from me?

We only collect the necessary information from you to provide you with the services available through our App.

By consenting to our collection, use and disclosure of your personal information through the use of our App, you allow us to fulfill the purposes for which we collect you personal information. When we collect your information for research and development purposes, we ensure that any information used for our analysis and reports will be de-identified and aggregated in a manner that will not identify you.

How do you collect my information?

We collect information from you in a variety of ways through our App.

Active collection

We will collect information that you provide to us in connection with your use of the App when you: (i) register and create a user account; (ii) make changes and update your user profile; (iii) create and update your job logs; (iv) upload photos of your driver’s license and insurance; and (v) send email messages, queries, or other information to us including user feedback.

Passive collection

Like many other mobile applications, certain information may be passively collected using various technologies so we can offer you the full functionality of our App. For example, when you create a new job record, we may automatically collect your device location/GPS coordinates so that you can accurately log the distance and route taken for your job.

Do you share my information with others?

We will never sell or rent your information to third parties. However, we may share your information with other parties in certain situations, such as service providers acting on our behalf to provide services to you through the App (for example, if you sign up for invoicing factoring we will disclose your information to the Factoring Provider).

Under certain circumstances, Tread will disclose your information:

We may share your personal information with our business partners and certain service providers in order to provide services to you, to verify and validate information, and to address customer service matters. Examples of service providers include our hosting provider, Amazon Web Services, and the Factoring Provider. To reduce the risk of fraud or misuse of personal information, Tread may also verify your personal information with third party service providers. These service providers are not authorized by us to use or disclose the information except as necessary to perform services on our behalf or comply with legal requirements. If you do not wish us to provide your personal information to those service providers, we may be unable to provide you the services you request or adequately respond to your query.

We may also share anonymized and aggregated information (such as trip, load and job historical data) with other third parties for the purposes of research and statistical analysis. This information has been de-identified and cannot be used to personally identify you.

In the event our business undergoes a fundamental change such as, for example, a sale or financing, merger, transfer of all or a portion of our business or assets (“Business Change”), we may disclose your personal information to the counterparties to the transaction and their professional advisors as necessary for them to conduct due diligence and to complete the transaction, provided that the counterparties and their professional advisors are required to maintain your information as confidential and provided that any successor to our business may only use and disclose your information for those purposes for which you have provided consent to us. Following such Business Change, you may contact the entity to which we disclosed your information with an inquiry concerning the processing of that information.

Where does my information go?

We use a cloud-based service provider, Amazon Web Services, to store all of the information collected through our App. Please be aware if you use the invoice factoring services through the Factoring Provider, it may store your information in accordance with its privacy policy.

Occasionally, we may use service providers located in the United States (such as Amazon Web Services) to process and/or store personal information for us. Please note that personal information in the custody of these service providers may be subject to access by the law enforcement authorities of those jurisdictions in which the service providers are located. Our Privacy Officer, whose contact information is provided below, can provide further information about our policies and practices regarding service providers located outside of Canada and further information about how these service providers, collect, use, disclose or store personal information on our behalf.

How do you protect my information?

You are responsible for keeping your user account password private and confidential and for all activities that occur through the use of your user account. Tread takes all reasonable physical, technological and organizational steps to secure your personal information from loss, unauthorized access, modification or disclosure.

You agree to maintain the confidentiality of your user account and notify us immediately of any unauthorized use of your user account or any other breach of security relating to your account. Tread will not be liable for any loss or damage arising out of your failure to comply with this section. You may be issued a new password or required to change your password from time to time. We encourage to create a secure password.

Tread has policies and procedures to protect the privacy of your personal information that we hold about you. Among the steps we take to protect your information are: physical premises security, restricted file access, technological safeguards such as encryption, firewalls and other security software, and internal password and security policies.

While we use all commercially reasonable efforts to protect the information you submit to us, no method of transmission over the internet or electronic storage is 100% secure.

Can I access or change the information you have about me?

You can access and change your information through your user account through the settings button at any time. You can also update the logs you track in the App at any time.

You also have a right to review any of the information that we hold about you and learn about how we have used it or to whom we have disclosed it by contacting us. Subject to any exceptions prescribed by law, you can access and correct your personal information and challenge the accuracy and completeness of the information we have about you. We may deny access when required or authorized by law. For example, we may deny access when granting access would have an unreasonable impact on other people’s privacy or when necessary to protect our confidential commercial information and the requested information cannot be severed from the balance of the record in which it is contained. If we deny your request for access to, or refuse a request to correct information, we shall explain why.

What if I don’t want you to collect my information anymore?

You can withdraw your consent to the collection, use and disclosure of your personal information by us at any time, but we might not be able to provide you the services you want through our App.

If you consent to the collection, use and disclosure of your personal information as outlined in this Policy, you will be able to create an account, access and/or use our App and all the services that it offers. If you choose to withdraw your consent, we may not be able to provide you with the full functionality of the services we offer through our App. For example, if you do not provide us with a void cheque, we won’t be able to direct deposit funds into your bank account.

We also do not keep your information forever. We only keep your personal information as long as reasonably necessary for us to complete our dealings with you, or as may be required by law, whichever is longer. This Policy only applies to our App.

This Policy does not apply to the privacy practices of these third-party sites, which might collect personal information from you.

Our App might have links in it that take you to a website or another page that we do not control. Please make sure you read the privacy policies of these other sites carefully. We do not endorse nor are we responsible for the content, products, services or policies or any information on these third party sites.

We might update this Policy occasionally.

We may need to update or change this Policy to keep up with changes in our App or applicable laws. If we make changes, we will post an updated copy on the App which you can always access by clicking the legal button on the settings tab.

If you make any material changes we will notify you as required by law, but encourage you to check back often for updates. Your continued use of the App after an update or amendment to this Policy means that you consent to the collection, use, and disclosure of your personal information as described in the updated Policy.
